By engaging RIMSAMEX USA LLC (“RIMSAMEX”) for HVAC services, or by accessing our digital platform SAMI, you agree to be bound by these Terms and Conditions. These terms govern all service calls, preventive maintenance contracts, and industrial installations executed by our certified technicians within the State of Houston.
RIMSAMEX provides specialized HVAC engineering, including but not limited to:
Our "90-Minute Emergency Response" applies to clients with active Service Level Agreements (SLA) in designated Houston zones (Houston, Katy, Sugar Land, etc.). RIMSAMEX commits to having a technician on-site or a diagnostic session initiated within 90 minutes of an emergency dispatch confirmation.
The Smart Asset Management Interface (SAMI) is proprietary technology of RIMSAMEX. Clients are granted a non-exclusive, non-transferable license to access facility data, maintenance logs, and real-time head pressure reports. Any attempt to reverse-engineer or distribute SAMI software architecture is strictly prohibited.
Invoices are issued upon completion of service or according to the billing cycle defined in your Master Service Agreement (MSA). Standard payment terms are Net 30 unless otherwise specified. Late payments may incur interest charges as permitted under Houston Finance Code.
To ensure 100% operational safety, clients must provide:
RIMSAMEX warrants that all services will be performed with professional skill consistent with industrial HVAC standards. Liability for equipment failure is limited to the cost of the service provided. RIMSAMEX is not liable for indirect loss of revenue due to facility downtime caused by weather extremes (Force Majeure).
All technical reports, SAMI data structures, and engineering diagrams produced by RIMSAMEX remain the intellectual property of RIMSAMEX USA LLC. Unauthorized use of the RIMSAMEX logo or technical documentation for third-party bidding is prohibited.
Either party may terminate a long-term maintenance agreement with 30 days' written notice. RIMSAMEX reserves the right to suspend SAMI platform access if payment obligations are not met.
These terms are governed by the laws of the State of Texas. Any legal disputes arising from these terms shall be settled in the competent courts of Harris County, Houston, TX.
